Privacy Statement Effective as of March 7, 2012
This Web Site Privacy Statement (“Privacy Statement”) tells our visitors (“you”) about the information Directworks, Inc. (“Directworks” or the “Company” or “we”) collects through its Web Sites (the “Web Site(s)”) and how we use that information. Directworks (“Directworks”) is committed to protecting the privacy of your information. This Privacy Statement describes

Directworks’ Web Site privacy practices.

By accessing our Web Site, you are consenting to the information collection and use practices described in this Privacy Statement, as modified from time to time by us. If we decide to change our Privacy Statement, we will post a new statement on our Web Site and change the date at the top of the statement. Therefore, we encourage you to check the date of our Privacy Statement whenever you visit this Web Site for any updates or changes.

1. Web Sites Covered
This Privacy Statement covers the information practices of Web Sites that link to this Privacy Statement and or other Web Sites owned or operated by Directworks (collecitvely referred to as “Directworks’ Web Sites” or “the Company’s Web Sites” or “our Web Sites”). The Web Sites may contain links to other third-party web sites. Directworks is not responsbile for the information practices or the content of such other web sites.

2. Information Collected
Directworks offers a variety of applications and services. Directworks collects information from individuals who visit the Company’s Web Sites (“Visitors”) and individuals who use the Services (“Customers”).

When expressing interest in obtaining additional information about the Services, Directworks asks you to provide individual contact information, such as name, company name, address, phone number, and email address (“Required Contact Information”).

As you navigate the Web Sites, Directworks may also collect information through the use of commonly-used information-gathering tools, such as cookies (“Web Site Navigational Information”). Web Site Navigational Information includes standard information from your Web browser (such as browser type and browser language), your Internet Protocol (“IP”) address, and the actions you take on the Company’s Web Sites (such as the Web pages viewed and the links clicked).

Directworks may also collect information that identifies you personally, such as your name and e-mail address, when you submit a form, including, but not limited to, a request for information, a request for a Directworks White Paper, or to register for  Directworks events, such as analyst briefings, etc. Directworks collects additional information if you choose to submit it, including your title and place of employment, business telephone number, mailing and facsimile address, as well as the contents of your questions and/or comments submitted along with this information.

3. Use of Information Collected
In general, Directworks may use this information to respond to your inquiry, request your participation in surveys, and contact you about Directworks products or partner offerings that may be of interest to you.

Directworks uses Web Site Navigational Information to operate and improve the Company’s Web Sites. The Company may also use Web Site Navigational Information to provide personalized information about the Company.

4. Web Site Navigational Information
Directworks uses commonly-used information-gathering tools, such as cookies, to collect information as you navigate the Company’s Web Sites (“Web Site Navigational Information”). This section describes the types of Web Site Navigational Information that may be collected on the Company’s Web Sites and how this information may be used.

Directworks uses cookies to make interactions with the Company’s Web Sites easy and meaningful. When you visit one of the Company’s Web Sites, Directworks’ servers send a cookie to your computer. Standing alone, cookies do not personally identify you. They merely recognize your Web browser. Unless you choose to identify yourself to Directworks, either by filling out a Web form, you remain anonymous to Directworks.

IP Addresses
When you visit Directworks’ Web Sites, the Company collects your Internet Protocol (“IP”) addresses to track and aggregate non-personal information. For example, Directworks uses IP addresses to monitor the regions from which Customers and Visitors navigate the Company’s Web Sites.

5. Public Forums, Refer a Friend, and Customer Testimonials
Directworks may provide bulletin boards or blogs on the Company’s Web Sites. Any personal information you choose to submit in such a forum may be read, collected, or used by others who visit these forums, and may be used to send you unsolicited messages. Directworks is not responsible for the personal information you choose to submit in these forums.

Directworks posts a list of Customers and testimonials on the Company’s Web Sites that contain information such as Customer names and titles. Directworks obtains the consent of each Customer prior to posting testimonials. Also, Directworks’ bulletin boards and blogs Services display some content that is not Directworks’ content. This content is the sole responsibility of the entity or person that makes it available. Directworks may review content to determine whether it is illegal or violates our policies, and Directworks may remove or refuse to display content that we reasonably believe violates our policies or the law. However, Directworks does not necessarily review content contained in the bulletin boards and blogs.

6. Sharing of Information Collected
Directworks does not share, sell, rent, or trade any information provided with third parties for their promotional purposes. From time to time, Directworks may partner with other companies to jointly offer products or services. If you purchase or specifically express interest in a jointly-offered product or service from Directworks, the Company may share Data About Directworks Customers collected in connection with your purchase or expression of interest with our joint promotion partner(s).

Directworks reserves the right to use or disclose information provided if required by law or if Directworks reasonably believes that use or disclosure is necessary to protect the Company’s rights and/or to comply with a judicial proceeding, court order, or legal process.

7. International Transfer of Information Collected
Directworks may use information about Directworks Customers from around the world outside of the United States. This Privacy Statement shall apply even if Directworks transfers information of Directworks Customers to other countries.

8. Security
Directworks hosts its Web Sites behind firewalls that provides for stateful inspection, intrusion detection systems, and other advanced technology to prevent interference or access from outside intruders. This technology helps to ensure
that Customer Data is safe, secure, and only available to Directworks personnel.

9. What this Privacy Statement Does NOT Address
This Privacy Statement does not address the data management practices and policies of Directworks applicable to the operation and use of the CX4 Technology.
